Terms and Conditions

1. Eligibility:

Participation in the Kats Kash Rewards Program (the “Rewards Program”) is open to any individual who is at least 21 years of age and a resident of those United States of America states and territories and foreign nations where Kats Botanicals products are available for sale. Employees of Kats Botanicals and its affiliates, as well as their immediate family members, are not eligible to participate. For purposes of this section, “immediate family” means an employee’s parents, siblings, spouse and/or children.

2. Enrollment:

To enroll in the Rewards Program, an eligible customer must create an account on the Kats Botanicals website and opt-in to the Rewards Program (each enrolled customer hereinafter referred to as a “Member”). By enrolling, Members agree to abide by the Rewards Program’s terms and conditions as well as the Kats Botanicals General Terms and Conditions, which are incorporated by reference herein.

3. Points Accumulation:

Members earn points on the total purchase price, excluding taxes, shipping fees and discounts, on all eligible purchases made the Kats Botanicals website. If a Member returns all or a portion of his or her purchase, a proportionate number of points shall be deducted from such Member’s Rewards Program account. At its discretion, Kats Botanicals may offer Members opportunities to earn additional points through certain actions such as referring friends or engaging with Kats Botanicals on social media. 4. Points Redemption:

Members may apply accumulated points to future purchases made on the Kats Botanicals website. At checkout, Members can opt to use their accumulated points on their purchase and the value of such points will be deducted from the total purchase amount. Points have no cash value and cannot be transferred or exchanged.

5. Points Exceptions:

Kats Botanicals reserves the right to limit or restrict the issuance or redemption of points on promotions, sales, discounted or clearance products, special events and specific products.

6. Points Expiration:

For Members with active Rewards Program accounts, points will expire one year after their initial accumulation date. If a Member’s Rewards Program account remains inactive for a period of 12 consecutive months, all accumulated points may be forfeited at the discretion of Kats Botanicals.

7. Program Changes:

Kats Botanicals reserves the right to modify, suspend, or terminate the Rewards Program at any time without prior notice or consent. Kats Botanicals will communicate changes to the Rewards Program or its terms either directly to Members through email or by updating the Rewards Program page.

8. Termination:

Kats Botanicals reserves the right to cancel a Member’s accumulated points and suspend or cancel a Member’s Rewards Program account at any time with immediate effect and without written notice, for any reason and in Kats Botanicals’ sole discretion, including, without limitation, if Kats Botanicals believes a Member has breached or violated any of the Rewards Program terms and conditions or the Kats Botanicals general terms and conditions, or engaged in any fraudulent misconduct or wrongdoing in connection with the Member’s participation in the Rewards Program. A Member may cancel his or her Rewards Program Account at any time by sending a written notice of cancellation to the contact information provided in Section.

9. Privacy Policy:

Member information collected through the Rewards Program is subject to the Kats Botanicals Privacy Policy. By participating in the Rewards Program, Members consent to the collection, use, and disclosure of their personal information in accordance with the Privacy Policy.

10. Limitation on Liability:

Kats Botanicals is not liable for any errors, omissions, or disruptions in the Rewards Program, including but not limited to technical malfunctions, lost or delayed transactions, or unauthorized access to Member accounts. In no event shall Kats Botanicals be liable for any incidental, consequential, or punitive damages arising from participation in the Rewards Program.

11. Governing Law:

These terms and conditions are governed by the laws of the United States and the state of Tennessee, without regard to conflicts of law principles.

12. Dispute Resolution and Arbitration:

1. By participating in the Rewards Program, Members agree to give up any rights to litigate claims in a court or before a jury, or to participate in a class action or representative action with respect to a claim related to the Rewards Program.
2. Any and all current, present or future claims, disputes or controversies between a Member and Kats Botanicals arising from or relating in any way to a Member’s participation in the Rewards Program will be resolved exclusively and finally by binding arbitration.
   1. The arbitration will be administered by the American Arbitration Association (“AAA”) in accordance with the Consumer Arbitration Rules (the “AAA Rules”) then in effect. The Federal Arbitration Act will govern the interpretation and enforcement of this Section 11(b).
   2. The arbitrator will have exclusive authority to resolve any dispute relating to arbitrability and/or enforceability of this arbitration provision, including any unconscionability challenge or any other challenge that the arbitration provision is void, voidable or otherwise invalid. The arbitrator will be empowered to grant whatever relief would be available in court under law or in equity. Any award of the arbitrator(s) will be final and binding on each of the parties and may be entered as a judgment in any court of competent jurisdiction.
3. If any provision of this Section 11 is found unenforceable, the unenforceable provision will be severed and the remaining arbitration terms will be enforced.

14. Acknowledgment:

By enrolling in the Kats Kash Rewards Program, Members acknowledge that they have read, understood, and agree to abide by these terms and conditions. Kats Botanicals reserves the right to interpret and enforce these terms and conditions at its sole discretion.
